Trembi Terms and Conditions

Welcome to Trembi. These Terms and Conditions govern your access to and use of Trembi’s platform, products, and services. By signing up for, accessing, or using Trembi, you agree to these Terms.
If you do not agree to these Terms, please do not use Trembi.

1. Who We Are
Trembi is operated by Trembi Software Ltd, a company registered in Uganda.
Trembi provides sales and marketing software as well as related managed services, including campaign setup, advertising support, and consulting.
2. What Trembi Provides
Trembi offers tools and services designed to help businesses generate leads, manage customer relationships, automate follow-ups, run campaigns, and improve sales processes.
Our services may include:

CRM and sales management tools

Marketing automation
-
Email, SMS, and WhatsApp campaign tools

Lead generation tools
-
Managed advertising services
-
Onboarding, setup, and consulting support
Trembi provides these services on a best-effort basis. We do not guarantee leads, conversions, revenue, or specific business outcomes.
3. Account Registration and Access
To use certain parts of Trembi, you may need to create an account.
You are responsible for:

Providing accurate information

Keeping your login details secure

All activity that takes place under your account
We may suspend or terminate your access if:

You fail to pay for the service
-
You misuse the platform
-
You violate these Terms
-
We believe your use creates legal, operational, or reputational risk for Trembi
We may do this with or without prior notice where necessary.
4. Pricing, Billing, and Refunds
Trembi operates primarily on a subscription basis. Some services may also involve usage-based charges or managed service fees.
By using paid services, you agree to pay all applicable charges.
Payments

Payments are billed in advance unless stated otherwise

You must ensure your payment details remain valid and up to date

Failure to pay may result in suspension or termination of service
Refunds
Payments are generally non-refundable.
However, where a paid service has not been substantially consumed, Trembi may review refund requests at its sole discretion. Once services have been consumed for more than three days, or where work has already been performed, refunds will generally not be issued.
5. Acceptable Use
You may use Trembi to send campaigns through supported channels such as email, SMS, and WhatsApp, provided your use is lawful and compliant.
You agree not to use Trembi to:

Send spam or unlawful communications

Contact people without appropriate consent where consent is required

Violate advertising, privacy, or communications laws

Upload or distribute misleading, harmful, fraudulent, or abusive content

Interfere with the platform’s security or performance
-
Copy, reverse engineer, or misuse Trembi’s software or systems
Trembi may monitor usage for compliance and may restrict or suspend accounts that violate these rules.
6. Compliance Responsibilities
Trembi takes spam and compliance seriously and may enforce platform rules, limits, reviews, or restrictions to reduce abuse.
Even so, you remain responsible for how you use the platform, including:

The legality of your campaigns

The lawfulness of your contact lists

Obtaining consent where required
-
Compliance with applicable privacy, messaging, advertising, and anti-spam laws
7. Data Ownership
Your Data
You retain ownership of the campaign content and business data you create or upload into Trembi.
Lead Data
Leads generated specifically for your business through your use of Trembi belong to you.
However, Trembi may retain rights to:

Platform-level processes and systems
-
Aggregated and anonymized performance insights

General lead intelligence, benchmarking, and learnings that do not identify your business or contacts
Export Rights
You may export your eligible data while your account is active, subject to platform functionality and any applicable limits.
8. Data Use and Platform Improvement
Trembi will not use your private analytics or confidential business data for unrelated commercial purposes without permission.
We may use aggregated and anonymized data to:

Improve the platform

Enhance features and system performance
-
Develop benchmarks, insights, and internal analytics
This use will not identify you or your customers personally.
9. Data Storage and International Processing
Trembi may store and process data in the United States, Europe, and Africa.
By using Trembi, you consent to the transfer, storage, and processing of your data across these regions, subject to applicable safeguards and operational requirements.
10. Data Retention After Termination
If your account is terminated or canceled, your access to the platform may end immediately.
Where reasonably possible, Trembi may provide a limited post-termination export window of up to 14 days, unless:

The account was terminated for abuse, fraud, or unlawful activity

We are legally required to restrict access
-
Technical or security reasons prevent continued access
After that period, your data may be deleted or become permanently inaccessible.
It is your responsibility to export important data before cancellation or during any allowed export period.
11. Third-Party Services and Integrations
Trembi may integrate with or rely on third-party services such as advertising platforms, communication providers, hosting services, or analytics tools.
These may include services used for:

Ads

Messaging delivery

Email sending

Payment processing

Hosting and infrastructure
Trembi is not responsible for third-party actions, outages, delivery failures, policy changes, bans, account restrictions, or service interruptions caused by those third parties.
This includes cases where ad accounts, WhatsApp channels, messaging accounts, or other connected services are suspended or restricted by external providers.
12. Managed Services Disclaimer
Where Trembi provides managed services, including advertising support, setup, or consulting, those services are delivered on a best-effort basis.
Trembi does not guarantee:

Campaign performance

Lead quality
-
Sales outcomes
-
Return on ad spend
-
Return on investment
You acknowledge that campaign results depend on multiple factors outside Trembi’s control, including offer quality, budget, competition, timing, audience behavior, and third-party platform policies.
13. Intellectual Property
Trembi and all related software, systems, workflows, content, branding, and technology remain the property of Trembi or its licensors.
You may not:

Copy, reproduce, or republish the platform

Reverse engineer or attempt to extract source code
-
Build competing systems using Trembi’s proprietary materials
-
Use Trembi’s software, content, or outputs to train your own models or competing tools without written permission
These Terms do not transfer ownership of Trembi’s intellectual property to you.
14. Service Availability
We aim to keep Trembi available and reliable, but we do not guarantee uninterrupted or error-free service.
There may be downtime, maintenance periods, delays, bugs, or interruptions.
Trembi is not liable for losses arising from:

Platform downtime

Failed campaigns
-
Delayed messages
-
Service interruptions
-
Loss of business opportunities
-
Third-party outages
15. Limitation of Liability
To the fullest extent permitted by law, Trembi will not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, goodwill, or business opportunities.
Trembi’s total liability arising out of or related to your use of the platform or services will not exceed the amount you paid Trembi in the 30 days before the event giving rise to the claim.
16. Marketing and Publicity
Unless you request otherwise in writing, you grant Trembi permission to use your business name and logo in reasonable marketing materials, case studies, presentations, proposals, and client lists.
We will not disclose confidential information in doing so.
17. Free Services and Promotional Access
If Trembi offers any free features, trial access, or promotional plans, we may modify, restrict, or discontinue them at any time without liability.
Free services may have limited features, support, usage caps, or availability.
18. Changes to the Service
We may update, improve, remove, or modify features, functionality, pricing, or service structure at any time.
Where appropriate, we may provide notice of material changes, but we are not required to maintain every feature permanently.
19. Changes to These Terms
We may update these Terms from time to time.
When we do, the updated version will be posted on our website with a revised effective date. Continued use of Trembi after changes take effect means you accept the updated Terms.
20. Governing Law and Dispute Resolution
These Terms are governed by the laws of Uganda.
Any dispute arising out of or relating to these Terms or the use of Trembi shall be resolved through arbitration in Uganda, unless applicable law requires otherwise.
